i.    Separation of roles

As a general principle, unless circumstances otherwise necessitate, there shall be a clear separation of roles between the Board of Directors and Committees of the Board, as well as between the Board of Directors and the Secretariat.

ii.    Role of Board

To set basic policy direction, programme development and services to be offered.

iii.       Role of Committees of the Board

To review the relevant activities of the GMS-BF, including the Board as a whole; Directors (if circumstances require); and the Secretariat and, in this respect, to make non-binding recommendations to the Board for consideration and, if accepted, approval. At a minimum,

a.    Internal Review Committee, whose mandate shall include, but not be limited to, review of
•    programme activity (general);
•    costs incurred;
•    benefits;
•    services performed (specific) and impact on GMS trade and investment.

b.    Policy Committee, whose mandate shall include but not be limited to, review of
•    basic policy;
•    relationship between the Board and the Secretariat;
•    potential conflicts-of-interest involving Directors, Secretariat personnel or both.

iv.       Role of Secretariat

To implement the basic policy direction, programme development and services to be offered, further to decisions agreed by the Board of Directors and to regularly and no less often than once every 14 calendar days, brief the Board via the Chairman in respect of activities of the Secretariat.

This briefing, in writing, should be disaggregated as follows:

a.    Services provided;

b.    Services requested;

c.    Revenue;

d.    Promotion;

e.    Partnering;

f.    Personnel;

g.    Budget outlays;

h.    Required expenditures.

If requested by the Board, the Secretariat shall, with minimal delay, prepare other reports as and when required.
